Terms of Service

1. Agreement

By using 88Plate services (“Services”), you (“Restaurant”, “you”) agree to these Terms. 88 Plate Inc. (“88Plate”, “we”, “us”) provides restaurant website building, online ordering setup, and related technology services from its head office at 170-422 Richards Street, Vancouver, BC, V6B 2Z4. If you do not agree, do not use our Services.

2. Services We Provide

  • Restaurant website design and hosting
  • Online ordering system setup and management
  • QR code menu generation
  • Order notification system (orders sent to your phone, email, or device)
  • Ongoing technical support and maintenance

The system will be configured using your menu and information you provide to us.

3. Website Development & Revisions

We build your website using the menu, photos, and branding materials you provide.

  • We deliver an initial website draft for your review
  • You receive up to two (2) rounds of revisions at no additional charge
  • Revision requests should be submitted within seven (7) business days of each draft delivery; if we don't hear back within this period, we'll consider the current version approved
  • Additional revisions beyond the included rounds may be available for a fee, at our discretion

We want to get your website right. The included revisions are designed to fine-tune the site based on your feedback — not to redesign it from scratch.

4. Pricing & Commission

Our service has no monthly fees. We charge a commission on each online order processed through our platform. The commission rate is agreed upon during onboarding.

The commission may be:

  • Deducted automatically from payment processing
  • Collected through platform settlement mechanisms
  • Invoiced to you periodically

If payment is not received within seven (7) days of invoice, we reserve the right to suspend the ordering system until payment is received.

We reserve the right to adjust pricing with thirty (30) days written notice. Custom terms may apply per written agreement.

5. Payment Processing & Commission Collection

Online payments are processed by Stripe. Customer payments are deposited to your bank account, typically within 2 business days. Our commission is deducted automatically.

You authorize 88Plate to automatically collect the commission from all orders processed through the platform. You agree to Stripe's Terms of Service.

6. Your Responsibilities

  • Provide accurate menu information, pricing, and updates in a timely manner
  • Fulfill all orders received through the platform
  • Maintain operational readiness to accept orders during your posted business hours
  • Keep your menu and business information up to date
  • Comply with all applicable local food service regulations
  • Provide materials needed for website development (menu, photos, branding) within a reasonable timeframe

7. Order Fulfillment

You are solely responsible for:

  • Food preparation and food quality
  • Pickup or delivery fulfillment
  • Customer service related to orders
  • Order accuracy

88Plate acts solely as a technology platform facilitating online orders. We do not prepare, deliver, or handle food.

If you repeatedly fail to fulfill orders, cancel orders without valid reason, or fail to maintain operational readiness, we reserve the right to suspend or terminate your access to the platform.

8. Intellectual Property

Website designs, ordering system software, platform architecture, marketing integrations, and all related technology are the exclusive property of 88Plate.

You are granted a non-exclusive, non-transferable right to use the website and ordering system for the duration of our service.

Your restaurant name, menu content, original photos you provide, and your restaurant's brand remain your property.

You may not copy, replicate, reverse engineer, distribute, or recreate the platform or any part of the technology provided by 88Plate. You may not resell or redistribute website templates or platform components.

9. Website & Domain Control

  • The website created for you is owned and managed by 88Plate
  • Any domain names registered for your website are the property of 88Plate
  • Hosting infrastructure is owned and operated by 88Plate

10. Data Ownership

Customer data collected through the 88Plate platform (names, phone numbers, email addresses, order history) is accessible by both you and 88Plate for respective business purposes.

  • You may use customer data for fulfilling orders and communicating with your own customers
  • 88Plate maintains and controls the platform database
  • 88Plate may use anonymized, aggregate data for business analytics and platform improvement
  • Neither party may sell customer data to third parties
  • We do not share your customer information with third parties for marketing

If you cancel, we will provide an export of your customer data upon request within thirty (30) days.

11. Data & Platform Use Restrictions

You agree not to use any data, platform functionality, system architecture, or operational methods provided by 88Plate to:

  • Build a competing system
  • Provide similar services through another platform
  • Transfer technology concepts to a third party

You may not mass-export, scrape, or bulk-download customer data from the platform except through the cancellation export process described in Section 10.

12. Chargebacks & Payment Disputes

You are solely responsible for food preparation, order accuracy, and order fulfillment. If a customer disputes a payment or initiates a chargeback related to an order you fulfilled:

  • The disputed amount may be deducted from future settlements, or
  • You may be invoiced for the chargeback amount

We reserve the right to recover any payment processing fees, penalties, or administrative costs associated with the chargeback or dispute.

13. Platform Suspension

We may, at our sole discretion, suspend or disable your website or ordering system if:

  • You fail to pay commissions or fees owed
  • You breach these Terms
  • You attempt to copy or misuse the platform
  • You engage in fraudulent or unlawful activity
  • You repeatedly fail to fulfill orders

Service may be restored once the issue is resolved.

14. Cancellation

Either party may end the relationship with thirty (30) days notice. No cancellation fees apply.

Upon cancellation:

  • Your website will be taken offline
  • Any outstanding commissions or fees must be settled
  • The website, platform, domain, and infrastructure remain the property of 88Plate
  • We will provide your customer data export upon request within 30 days (see Section 10)

Your menu content, original photos, and brand remain yours.

15. Limitation of Liability

88Plate is not responsible for:

  • Restaurant operational issues
  • Food preparation, quality, or delivery problems
  • Customer complaints related to food
  • Lost revenue due to service downtime
  • Errors in menu information provided by you

The platform is provided “as is.” We make commercially reasonable efforts to maintain system functionality but do not guarantee uninterrupted service.

Our total liability is limited to the commissions paid by you in the preceding three (3) months.

16. Force Majeure

Neither party is liable for failure or delay in performing obligations due to causes beyond reasonable control, including natural disasters, government actions, internet or telecommunications failures, third-party platform outages, power outages, or other events of force majeure.

17. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through the courts of British Columbia.

18. Changes to Terms

We may update these Terms. We will notify you of significant changes via email. Continued use of our Services after notification means you accept the updated Terms.

19. Governing Law

These Terms are governed by the laws of British Columbia, Canada.
